PRIMEX provided the services of six key specialists who played the role of Independent Consultants responsible for: (i) review of detailed designs of the facilities; (ii) supervision of construction of civil works and commissioning of equipment; and (iii) review of deliverables of the Concessionaire under the Concession Agreement. The PRIMEX Team consisted of electrical and structural engineers, surveyors, and environmental and legal specialists. The Electrical Engineer and the Civil/Structural Engineer: (i) conducted site visits at appropriate intervals to inspect various elements of works in the presence of the Works Subcontractor (if required) to verify that the same were constructed in accordance with requirements of the Concession Agreement; (ii) reviewed the Design Submittals Schedule and considered the proposed schedule against time scales and Milestones stipulated in the Concession Agreement, including the review for compliance with design requirements submission of Detailed Designs of Concessionaire and made the decision as to its approval, rejection, or request for further information; (iii) reviewed, evaluated, and approved the design changes in accordance with the concession agreement, and provided Grantor and Concessionaire with report on design changes in accordance with requirements of the minimum performance standards and specifications (MPSS) and engineering, procurement and construction (EPC) schedule. The Environment Specialist and the Quantity Surveyor/Cost Engineer performed all duties, tasks, and functions and obligations of an Independent Consultant as set out and provided in the Concession Agreement, the Works subcontracts, or as reasonably foreseen by an experienced Independent Consultant. They also reviewed and recommended approval of the Environmental and Social Management System (ESMS) prepared and developed by the Concessionaire. The Legal Specialist performed all duties, tasks, and functions and obligations of an Independent Consultant as set out and provided in the Concession Agreement, the Works subcontracts, or as would be reasonably foreseen by an experienced Independent Consultant.
